⚡️ Your mission

As General Counsel, you will play a pivotal role at Birdie. You will be Birdie’s sole in-house legal advisor, overseeing Legal, Risk, Compliance and Data Protection. You will have the opportunity to make a real impact, providing strategic, practical legal advice on a wide range of issues across all areas of the business. You will be a business partner to all stakeholders at Birdie, ensuring we operate within the law and helping us to deliver great outcomes for our partners.

🦸‍♀️ How you will contribute

You will be part of the Leadership Team at Birdie, working closely with Exco and responsible for Legal, Compliance, Risk and Data Protection at Birdie. The Data Protection Officer (DPO) will report directly to you. Your responsibilities will include:

Strategy

  • Legal Strategy: Develop and implement our legal strategy and roadmap aligned to our company objectives. Provide expert and strategic legal advice to the business. Serve as a key member of the Leadership team.

  • Intellectual Property Strategy: Continue to partner with our external IP specialists to implement and oversee IP protection strategies, trademark filings and enforcement actions (where applicable).

Compliance & Risk

  • Regulatory Compliance: Ensure compliance with healthcare and data protection legislation. Monitor legislative and regulatory developments impacting Birdie and proactively advise the business on potential impacts. Develop, implement and maintain internal governance and compliance programs and policies.

  • Risk Management: Overall responsibility for Birdie’s risk governance processes, risk register and risk committee, together with our DPO, supporting and guiding the team with risk assessments, identifying risks and providing guidance on mitigation strategies and reporting to the Board.

  • Data Protection: Oversee data protection compliance at Birdie, led by our DPO. DPO ensures we maintain our NHS Data Security and Protection Toolkit standard and continue to meet what is required of us as a Digital Social Care Record Assured Supplier. DPO also ensures that policies and procedures, ROPA and DPIAs are completed and up to date as well as delivers regular data protection trainings for the Birdie team.

  • Corporate Governance: Manage corporate governance matters including board minutes, shareholder and investor approvals and manage other corporate records. Oversee our company secretarial service and the preparation and filing of corporate documents, maintenance of our Register of Members and cap table.

  • Finance & Corporate Development: Support with any fundraising and debt activities and investor relations. Lead the legal aspects of M&A activities, where applicable.

  • Option Scheme: Manage our employee share option scheme including overseeing board and investor approvals, new option grants for new joiners and promotions, the exercise process for leavers and managing and keeping internal guidance updated. Work closely with People team on this.

Commercial

  • Contracts: Draft, review, and negotiate a wide range of commercial agreements. Support across all teams, partnerships and initiatives through practical, business-minded and fast paced contract review and negotiation. Manage vendor and partnership agreements and implement processes where necessary.

  • Customer Terms: Draft, update and negotiate our customer facing terms and conditions and related materials, partnering closely with the Commercial and RevOps teams.

People

  • Employment: Close partnership with the People team, advising on all employment law matters, supporting the People team in developing, maintaining and updating policies and procedures and managing any contentious Employment matters.

Processes & Ops

  • Legal Budget and External Lawyers: Plan ahead and manage the legal budget for the year. Partner closely with external advisors and manage those relationships and costs, making the most effective use of budget and available resources.

  • Processes and Partnership: Drive constant improvements in how the Legal team delivers commercial legal advice and partnership to the business in the most efficient, effective way.

  • Legal Tech & AI: Continue to lead the implementation and optimisation of Legal teach including AI contract review to enhance the Legal team’s efficiency and scalability.

🤩 We’d love to hear from you if

  • You are an experienced legal leader with around 7-11 years PQE with some of that time spent in a fast paced start-up/ scale-up environment in-house either as General Counsel, Sole Counsel or in another senior Legal role.

  • You are able to think strategically and provide practical legal advice that aligns with business objectives. You have a pragmatic approach to advice, with the ability to understand our business and apply an appropriate commercial lens to reviews.

  • You are excellent at executing fast, multi-tasking and balancing competing priorities; you can push several streams at the same time, source information from various parts of the business and deliver quickly for high quality output.

  • You can influence others in your communication, simplify legal jargon and collaborate easily with all stakeholders to seek input and put forward your recommendations.

Our salary packages are competitive, the role is £120k - £150k. We also grant stock options to any permanent employee at the end of the probation period.

🏝 Location

This role will need to be based in the UK with presence in our London office twice per week. We organise regular in-person events and online socials to make sure you can meet up with peers.

Birdie does not currently support any visa applications and therefore we do require permanent right to work in the UK.

Highly favourable parental leave policy; once you have spent twelve consecutive months on our payroll, primary caregivers are entitled to 26 weeks of parental leave at 100% of your usual salary and secondary caregivers are entitled to 12 weeks of parental leave, at 100% of your usual salary.
